Meet & Greet Terms of Use

1. Introduction and Definitions

Please read these Terms carefully before using any of the features the Meet & Greet mobile application (the “App”) or https://meetandgreet.it.com (the "Website"), including but not limited to the extent applicable, the “dating” feature of the App (together, “Meet & Greet”), operated by RTKIT Ltd. By accessing or using the App or otherwise indicating your consent within the Website, you will be considered to have agreed to these Terms of Use (the “Terms”), which include our Privacy Policy and constitutes a legal binding agreement between you and us.

As used in these Terms, references to “we”, “us”, “our” or “the Company” will mean RTKIT Ltd, a limited liability company with registration number HE 430341 and with registered office address at Epidamou 4, YIATROS FANI COURT, Apartment/Office 203, Germasogeia, 4043, Limassol, Cyprus. Any reference to “you” or “user” means the person accessing or using the App. Together you and us may be referred to as the “Parties” or individually as the “Party.”

By accessing or using any of our services on the Website, the App, or any other platforms or services we may offer (collectively, the "Service" or our "Services"), you agree to, and are bound by these Terms.

These Terms applies to anyone who accesses or uses our Services, regardless of registration or subscription status.

We reserve the right to amend or change these Terms at any time. Notice of any material changes will be posted on the Website (along with the updated effective date) and you may also get notified via email or any other means. However, it is your responsibility to regularly check the Website and App for any changes. If you oppose to the change of the Terms, you must stop using our Services immediately. The continuation of access of our Services constitutes your ongoing consent to any changes, and as a result, you will be legally bound by any updated Terms. We reserve the right to change the availability of features in our subscription plans.

These Terms were last updated on August 20, 2024.

2. Content and intellectual property rights

In these Terms, "content" includes, without limitation, all text, images, video, audio, or other material on our Services.

While using the App you will have access to content (a) that the Company provides as part of or in relation to our Services (“Our Content”), (b) content that you provide while using our Services ("Your Content") and (c) content that other users provide while using our Services ("Member Content").

i. Your Content:
You are solely responsible and liable for Your Content therefore, you agree to indemnify, defend, release, and hold us harmless and not liable from any claims made in connection with Your Content. You represent and warrant that the information you provide to us, or any other user is accurate and that the content included on your profile is relevant to the intended use of our Services.

We strongly encourage you not to share anything that may violate these Terms or may expose you or us to any legal liability. We strongly encourage you to use caution if you disclose any personal information to other users while using our Services [and in particular, if you are using the “dating” feature of the App]. If you choose to reveal any personal information about yourself to other users, you do so at your own risk and the Company shall bear no liability for your actions.

Content meant for public availability shall be automatically made public on the App upon upload or, at the sole discretion of the Company, at a later stage.

Private content provided by users shall stay private and will not be shared with any third parties or accessed by the Company without the user’s explicit consent.

ii. Member Content:
Member Content belongs to the user who shared the content and is displayed at the direction of that user. You should always review Member Content with caution for accuracy as it may include incorrect, harmful or misleading information. Other users are responsible for their Member Content, as well as any and all decisions made, actions taken based on their use of Member Content.

You do not have any rights in relation to Member Content thus you may only use Member Content to the extent that your use is consistent with our Services' purpose of allowing you to communicate and meet other users. You are specifically restricted to use Member Content to spam, to harass, or to make unlawful threats. The Company reserves the right to terminate or suspend your account if you misuse Member Content.

iii. Our Content:
Any remaining content including but not limited to any other text, graphics, user interfaces, trademarks, logos, sounds, sketches, images, appearing on the App and Website are owned by the Company and are protected by all applicable intellectual property laws and regulations.

In addition, any intellectual property rights, and any other exclusive rights on software or technical applications embedded in or related to Meet & Greet are held by the Company and/or its licensors. Subject to users’ compliance with and notwithstanding any divergent provision of these Terms, the Company merely grants to the users a revocable, non-exclusive, non-sublicensable and non-transferable license to use the software and/or any other technical means embedded in the Service within the scope and for the purposes of the App and the Service offered.

This license does not grant users any rights to access, usage or disclosure of the original source code. All techniques, algorithms, and procedures contained in the software and any documentation thereto related is the Company’s or its licensors’ sole property.

All rights and license which may have been granted to users, as referred to above, shall immediately terminate upon any termination or expiration of these Terms and / or use of the App or the Website by the said user. Without prejudice to the foregoing, under this license users may download, install, use and run the software on the permitted number of devices, provided that such devices are common and up-to-date in terms of technology and market standards.

The Company reserves the right to release updates, fixes and further developments of the App, the Website and/or their related software and to provide them to users for free or against payment of a fee. Users may need to download and install such updates to continue using the App and/or its related software.

It may not be permitted to run the software on more than one device at a time.

3. User eligibility and responsibilities

Before you register to use Meet & Greet you will need to make sure you are eligible to use our Services. You are not allowed to use the Services if any one of the following applies:

a. You are not at least 18 years old;

b. You cannot legally enter into a binding contract with the Company.

c. You have previously been restricted from our Services or any of our affiliates’ services.

d. You are prohibited by law from using our Services;

e. You have been convicted to sex crimes or any other crimes involving violence or thread of violence.

If at any time any of the above applies, all and any authorizations to access and use our Services are automatically revoked. You warrant that you have the right, authority and capacity to enter into and be bound by the Terms and that by using Meet & Greet you will not be violating any law or regulation of the Republic of Cyprus or any of the above-mentioned statements. You are solely responsible for your compliance with all applicable local laws and regulations.

4. Access to the App

We may, from time to time, restrict access to certain features, parts or content of the App and the Website to users who have registered with us.

While we try to make sure that the App and the Website is accurate, up-to-date and free from bugs, we cannot promise that it will be. We do not warrant that the App and the Website is available at all times nor do we promise the uninterrupted use by you of the App and the Website.

We may prevent or suspend your access to Meet & Greet if you do not comply with any part of these Terms.

5. Restrictions

You specifically agree to:

a. comply with all applicable laws, rules and regulations, including without limitation, privacy laws, intellectual property laws, and any and all regulatory requirements;

b. not use Meet & Greet in any way that is or may be considered illegal and may in any way cause harm to Meet & Greet, or to any person (physical or legal);

c. use your real name, real age and real photographs when registering your Meet & Greet account and on your profile; and

d. use the Services in a safe, inclusive and respectful manner.

You agree that you will not use Meet & Greet in any of the following ways:

a. impersonating or attempting to impersonate Us or someone else or in any other way;

b. misrepresenting your identity, your age or affiliation with any other person or entity;

c. engage in any conduct that restricts or inhibits any person’s use of Meet & Greet, or which, as determined in our sole discretion, may harm us or the users of Meet & Greet or expose us or other users to liability;

d. act in an unlawful or disrespectful manner including being dishonest, abusive or discriminatory;

e. disclose information that you do not have the consent to disclose;

f. stalk or harass any other user of the App;

g. use the App in any deceptive, inauthentic or manipulative way, including engaging in conduct or distributing content relating to scams, spam, inauthentic profiles or commercial and promotional activity;

h. submit appeals, reports, notices or complaints that are manifestly unfounded;

i. develop, support or use software, devices, scripts, robots, other types of mobile code or any other means or processes (including crawlers, browser plugins and add-on or other technology) to scrape or otherwise exfiltrate from Meet & Greet or its services, or otherwise copy profiles and other data from the services.

j. use the App in any manner that could disable, overburden, damage or impair Meet & Greet or interfere with another party’s use of the App or with the proper working of the App; or

k. use any device, software, means or routine that interferes with the proper working of Meet & Greet such as viruses or other materials of the same nature.

You may report any abuse or complain about any illegal use of Meet & Greet by contacting us via email at support@meetandgreet.it.com or online through our Website or the App, and outlining the complain and/or abuse. We reserve the right to investigate any possible violation of this Terms and we may in our sole discretion terminate any user’s right to use the App with immediate effect and without any prior notice.
We don’t control any of the things our users say or do, so you are solely responsible for your interactions with other users of the App.

You understand that the Company does not conduct criminal background or identity verification checks on its users or otherwise inquire into the background of its users. The Company makes no representations or warranties as to the conduct, identity, health, physical condition, intentions, legitimacy, or veracity of users.

You are solely responsible for your interactions with other users. We cannot and do not guarantee your safety. Always take appropriate safety precautions when communicating with or meeting new people.

In certain circumstances, such as in response to complaints or suspected misconduct, the Company reserves the right to investigate whether a user has a criminal history at any time using available public records, which depending on the circumstances may include searching sex offender registries or other public records, and you agree that any information you provide may be used for that purpose.

Following any such investigation, with respect to any user that the Company reasonably believes to have been convicted of a sex offence, including but not limited to sexual assault or sexual harassment, or conviction for human trafficking, stalking, kidnapping, child abuse, murder, hate crimes, or terrorism or violent extremism, the Company may take steps to restrict that person from using the service and/or communicating with other users over the App. The Company reserves the right to block user for other offences, or for other violations of these terms, or for other reasons in their sole discretion.

You agree to, and hereby release the Company and its successors from any claims, demands, losses, damages, rights, and actions of any kind, including personal injuries, death and property damage, that either directly or indirectly arises from your interactions with or conduct of other users of the App.

The foregoing release does not apply to any claims, demands, or any losses, damages, rights and actions of any kind, including personal injuries, death or property damage for any fraudulent commercial practice and misconduct by the Company in connection with the App.

6. Privacy

For information about what personal data we collect and how we use them please check our Privacy Policy. By using Meet & Greet, you agree and acknowledge that we may use such data in accordance with our Privacy Policy.

7. Payment Terms

Use of the Meet & Greet services’ is free of charge except in the case you choose to purchase additional services on the App (the “In-App Purchase”) in the form of subscription (the “Subscriptions”) and you accept and acknowledge that additional terms may apply to you. Such additional terms are incorporated herein.

We do not provide payment services to users or third parties and all payments are processed through the transfer of users to the secure payment servers of the lawfully licensed payment service providers with the service providers, being Apple and Google Pay (the “Payment Service Providers”) whom the Company cooperates. Once you make the In-App Purchase, you authorise us to automatically charge you. If payment is not received by us, you agree to promptly pay all amounts due upon demand by us.

Subscriptions start on the day the payment is received by the Company and last for the specific period offered by each Subscription chosen by the user. If you chose to purchase any of the automatically renewing subscriptions that the App offers, your subscription will renew at the end of the period for the current price for such subscription, unless you cancel. Each renewed subscription will last for a period equal to the original term.

You may cancel your subscription or change your payment method at any time before the expiration of the subscription. Generally, all charges for purchases are nonrefundable, and there are no refunds or credits for partially used periods. Since you have subscripted using Apple or Google Pay, your refund request are handled directly by them and the Company shall have no responsibility and / or liability relating to such refund request To request a refund, you will have to contact the relevant Payment Service Provider directly and follow relevant instructions. If you cancel your subscription, you may use your subscription until the end of the period you last paid for, but (a) you will not be eligible for a refund for the remaining period of the subscription, (b) your subscription will not be renewed when that period expires and (c) you will then no longer be able to use the Services enabled by your subscription.

Since our Services can be utilised without a subscription, cancelling your subscription does not remove your right to use your profile. In the event that you wish to terminate your account, you must follow the procedure outlined in section 9 below.

The Company reserves the right, including without prior notice, to change the subscription prices at any time and/or limit the availability of any product, feature, or other service and/or to impose conditions on the honouring of any discount, offer or other promotion that may be offered in the App and/or to restrict any user from making any transaction and/or refuse to provide any user with any product or service.

8. User Transactions

The App enables users, as a first step, to connect and/or share resources such as umbrellas and sunbeds. These transactions are solely between each individual user involved and in no way the Company is party to the transaction, nor shall be held in any way liable for any transactions, agreements and/or disputes arising out of the individual arrangements or the actions of each user conducted while using the App. Users are advised to use their discretion when entering into transactions or agreements with other users.

Users have the sole responsibility to ensure the accuracy and legality of any transaction before entering into any such arrangement with other users, including payment for the sunbeds and / or umbrellas to the local authorities who may request payment.

Additionally, the App contains a “dating” feature, under which users can, after connecting, look at the profiles of other users using this feature and choose to arrange a meeting with them. This feature allows you to see the distance from such other user and check if such user is currently in a specific location – provided that you and the other user are near a point of interest within the App. Again, any arrangements to meet are solely between each individual user involved and in no way the Company is party to such arrangements, nor shall be held in any way liable for arrangements and/or disputes arising out of the individual arrangements or the actions of each user conducted while using the App. Users are advised to use their discretion when entering into meeting arrangements with other users.

The Company shall not be held liable for any direct or indirect loss or damaged suffered or any claim and/or dispute arising from or in relation to any transaction, agreement and arrangement enter between the users or other third parties.

9. Account Termination

If you no longer wish to use our Services provided in the App, you may delete your account at any time by clicking “delete account” on your account profile section of the App and following the instructions to complete the deletion process. However, you will have the responsibility of cancelling/managing your subscriptions through your account with the relevant Payment Service Provider to avoid any additional billing.

The Company reserves the right to suspend or terminate your account at its sole discretion with immediate effect and without any prior notice, if the Company believes that you have violated these Terms in any way, misused our Services, or have behaved in a way that the Company deems as inappropriate or unlawful.

The Company reserves the right to use any personal, technological, legal, or any other means available to enforce these Terms, at any time without liability and without giving you any prior notice, including, but not limited to, preventing you from accessing the Services.

If your account is terminated either by you or the Company for any reason, these Terms continue and shall remain enforceable between you and the Company and any personal information will be handled in accordance with our Privacy Policy.

10. Disclaimer

The App and website are provided to you “as is,” and “as available”. No warranty, express or implied shall apply, whether arising by law, course of dealing and performance or otherwise.

The Company does not make any warranties that the app or website will be uninterrupted, secure or error free or that your use of the app or website will meet your expectations. Use of the App is at your own risk. You are solely responsible for your interactions with other users and the Company is in no way responsible for the conduct of any user.

11. Limitation of Liability

To the fullest extent permitted by applicable law, in no event the Company will be liable for any loss or damage including without limitation, indirect or consequential loss or damage, or any loss or damage whatsoever arising out of your access to or use of Meet & Greet.

Meet & Greet provides to you matching services which include:

a. finding offers, accepting offers, submitting requests;

b. identifying suitable matches for the offers (any users registered in the App within the same local area);

c. keeping records of offers and meetings;

d. remotely monitoring offers matched using the App;

e. receiving and providing the feedback using the App;

f. to the extent you choose to, using the “dating” feature of the App, allowing you to look at the profiles of other users and view the distance from such person and / or if such person is currently in a specific location, provided that such person is near certain points of interest within the App, prior to arranging to meet with them.

Meet & Greet provides the resource sharing services upon the understanding that not all resources are necessarily transferable and certain third party administrators may restrict or not accept resource transferability. In accordance with this, while using Meet & Greet, you confirm that:

a. the resource usage thereof does not include in their terms and conditions any restriction pertaining to the transferability;

b. there is no reasonable expectation or indication that the supplier will object to transferability;

c. the Company, does not guarantee nor affirm any transferability or other conditions of administrators, and accordingly, does not accept and disclaims any and all liability in that regard howsoever arising.

12. Indemnity

All the actions you make and how you use our Services remain your sole responsibility. For this reason, you agree to indemnify, defend, release, and hold us, and our affiliates, employees, representatives and agents, harmless, from any third party claims, damages, proceedings, losses, liabilities, costs and expenses suffered or reasonably incurred by us arising as a result of, or in connection with:

a. any negligent acts, omissions or misconduct by you;

b. your access to and use of Meet & Greet;

c. any breach of these Terms by you; and/or

d. your violation of any law or of any rights of any third party.

13. Dispute Resolution

In the event that we have a legal dispute, you and we agree to proceed in the following manner, except where prohibited by applicable law.

i. Informal Process:
If you are in any way dissatisfied with the Services provided by us, please contact the Meet & Greet customer support at support@meetandgreet.it.com and/or through our Website or the App and we will communicate in order to try and resolve your concerns. All offers, promises, conduct, and statements made in the course of the informal dispute resolution process by any party, its agents, employees, and attorneys are confidential (except where admissible by any applicable law in any subsequent proceeding).

ii. Formal Process:
In the event that we have not succeeded to resolve your concerns and you choose to pursue a dispute or claim against the Company, you acknowledge that these Terms shall be governed by the laws of the Republic of Cyprus and any dispute or claim shall be exclusively commenced or prosecuted in the courts of the Republic of Cyprus.

14. General matters

These Terms, including the Privacy Policy, and any additional amendments, contain the entire agreement between you and the Company regarding the use of our Services. These Terms supersede all previous agreements, representations, and arrangements between us, written or oral. If any provision of these Terms is held invalid, illegal, or otherwise unenforceable, the remainder of the Terms shall continue in full force and effect. The failure of the Company to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. You agree that your Meet & Greet account is non-transferable and all of your rights to your account will terminate upon your death, unless otherwise provided by law. Any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by us without restriction. No agency, partnership, joint venture, fiduciary or other special relationship or employment is created as a result of these Terms, and you may not make any representations on behalf of or bind the Company in any manner.

No failure or delay in exercising any right under these Terms shall constitute a waiver of such right and nor shall any partial exercise by either party of any right preclude further exercise of such right or the exercise of any other right.

15. Tell-a-friend

The App gives users the opportunity to receive advantages if, as a result of their recommendation, any new user purchases a product offered on the App.

In order to take advantage of this offer, users may invite others to install an app and / or purchase products on the App by sending them a tell-a-friend referral link or code provided by the Company. Such links or codes can only be redeemed once.

If upon purchase of such products on the App any of the persons invited redeems a tell-a-friend link or code, the inviting user shall receive the advantage or benefit (such as: a price reduction, an additional service feature, an upgrade etc.) specified on the App.

Tell-a-friend links or codes may be limited to specific products among those offered on the App.

The Company reserves the right to end the offer at any time at its own discretion.

While no general limitation applies to the number of persons that can be invited, the amount of advantage or benefit that each inviting user can receive, may be limited.
